User Agreement (PleaseSign Client/User/You)
1. Introduction
PleaseSign has created open source API code for the purpose of allowing easy integration of PleaseSign e signature software with 3rd party software providers.
The following Terms and Conditions, You the Client/User or representative of the Client/User agree to when accessing and/or using the application.
Definitions:
3rd Party Services - 3rd Party Services' refer to any software, services, or applications developed, provided, or maintained by entities other than PleaseSign. Users may integrate these services with, or utilise them in conjunction with the PleaseSign API. These services operate independently from PleaseSign which is not responsible for their security, content, functioning, or any interactions they facilitate. PleaseSign is also not liable for any consequences arising from the misuse or failure of these services.
API (Application Programming Interface) - The 'API' refers to the programmatic interface, including but not limited to, the set of protocols, tools, and definitions provided by PleaseSign, which allows Users to programmatically interact with PleaseSign services or applications. This includes access to functionalities that enable the integration of electronic signing processes, data retrieval, and other related services into User applications or websites. The API is accompanied by documentation that guides the User on how to implement and use the interface effectively.
Data - 'Data' encompasses all types of data, including but not limited to text, images, and other materials, as well as information related to electronic signatures, which are created, uploaded, or generated through the use of the API. It includes personal data subject to data protection laws to which the User must adhere."
Key or API Key - An 'API Key' or 'Key' is a unique identifier issued by PleaseSign to the User, which enables the User to access and utilise the API. This Key must be kept confidential and may only be used as permitted under the terms of this Agreement.
User - A 'User' is an individual or entity that has registered and received approval from PleaseSign to access and use the API under the terms of this Agreement. The term 'User' includes any entity on whose behalf the individual accepts these terms and conditions.
Services: Refers to any PleaseSign services or applications accessed via the API. These include, but are not limited to, electronic signing, document management, and related functionalities provided by PleaseSign.
2. Acceptance of Terms
By accessing or using the API, the user acknowledges they have read, understood, and agree to be bound by the terms of this agreement.
PleaseSign may change the terms at any time. Updates are posted on the PleaseSign website. You are encouraged to monitor the site for updates.
3. API License
PleaseSign grants users a limited licence to access and use PleaseSign API for the purpose of integrating signing functionalities into third party software.
PleaseSign users should not sell, redistribute, or otherwise make the API available to third parties not expressly authorised under this agreement.
4. User Obligations and Conduct
Users must secure their API keys and ensure they are not disclosed to unauthorised parties.
Users are prohibited from using the API for activities that would cause undue burden or disruption to PleaseSign services.
Any abuse or misuse of services may result in disconnection at our sole discretion
5. Compliance and Legal Use
PleaseSign complies with the Electronic Transactions Acts applicable in all Australian States, the U.S. Electronic Signature in Global and National Commerce Act of 2000 (ESIGN), and the Uniform Electronic Transactions Act (UETA). Users must ensure that their use of the API, particularly in third-party software for managing and signing electronic documents, adheres to these statutes along with any applicable international and national laws regarding electronic signatures and transactions.
It is the sole responsibility of users to ensure that any third-party software integrated with the API conforms to all relevant legal requirements, including but not limited to privacy, data protection, and electronic communications. This includes the correct utilisation of API features, such as handling silent recipients and securing documents stored outside the PleaseSign platform.
Users are required to manage these features diligently, ensuring they meet the legal standards for electronic signatures in their jurisdictions and responsibly address any associated legal risks. PleaseSign is not liable for any losses or damages arising from the actions or failures of users or third parties.
6. Intellectual Property Rights
PleaseSign retains all intellectual property rights in the API, services, and application, and any related data, except as expressly granted in this agreement.
7. Termination and Suspension
PleaseSign reserves the right to suspend or terminate a user’s access to the API for reasons including, but not limited to, breaches of this agreement, misuse of the service, or any other violation of applicable rules and regulations.
Users have the right to appeal any suspension or termination decisions.
Appeals must be submitted in writing.
PleaseSign is not responsible for any costs incurred by the user as a result of suspension or termination.
8. Liability and Indemnification
PleaseSign is not liable for any damages resulting from the misuse of the API, actions of third parties, or user non-compliance with this agreement.
Users are required to indemnify PleaseSign against any claims related to their misuse of the API, non-compliance, or unlawful use of third-party software integrated with the API.
This indemnity covers all claims arising from the user's actions or those of their third-party providers that lead to losses or damages.
9. Changes to the Agreement
PleaseSign may at any time update the terms of this agreement. Users will be notified via updates posted on the PleaseSign website - https://pleasesign.com.au/trust
10. Miscellaneous
10.1 Severability: If any part of this Agreement is held invalid or unenforceable, the remaining parts will continue in full force and effect.
10.2 Waiver: Failure to enforce any provision of this Agreement does not constitute a waiver of future enforcement of that or any other provision.
10.3 Amendment: Changes to this Agreement require written consent from both parties.
10.4 Notice: All notices must be in writing and will be considered given upon email delivery.
10.5 Assignment: Rights or obligations under this Agreement may not be assigned without prior written consent from PleaseSign.
10.6 Force Majeure: Neither party is liable for failure to perform its obligations due to circumstances beyond its reasonable control.
10.7 Governing Law and Dispute Resolution: This Agreement is governed by the laws of Brisbane, Australia. Disputes will be resolved through arbitration of PleaseSign choice.
10.8 Confidentiality: Both parties agree to maintain confidentiality of any proprietary information exchanged during the course of this Agreement.
10.9 Export Control: Users comply with all applicable export laws and regulations.
